Terms of Service

These Terms of Service (“Terms”) govern your use of websites and online products operated by Scorpion LLC (“Scorpion”, “we”, “us”), including AI Marketing and related billing features. By creating an account or using our services, you agree to these Terms.

1. Accounts

You must provide accurate registration data and keep your credentials confidential. You are responsible for activity under your account. Individual and company workspaces may have different roles and billing ownership; company administrators are responsible for authorized users.

2. AI Marketing studio

AI Marketing helps generate marketing titles, captions, and images based on brand settings you provide. Outputs are suggestions only. You are solely responsible for reviewing, editing, and publishing content, and for ensuring that your marketing complies with applicable law and third-party platform rules. We do not guarantee continuous availability, uninterrupted generation, or fitness of AI results for a particular purpose.

3. Scorpion Coins and paid features

Certain features (for example generating a post caption with an image) may consume Scorpion Coins (“SC”). SC balances are prepaid digital credits for use inside our products; they are not bank deposits, e-money, or a stored-value payment instrument for third parties. Coin packages, rates (for example AMD paid vs SC credited), and feature costs may change; the amounts shown in your billing screen at checkout apply to that purchase.

4. Card payments via AmeriaBank vPOS

Top-ups may be paid by bank card through AmeriaBank’s virtual POS (vPOS) payment gateway. When you start checkout, you are redirected to AmeriaBank’s payment page to enter card details. Scorpion does not store full card numbers (PAN) or CVV on its servers. Payment authorization, 3-D Secure, and settlement are performed by AmeriaBank and card schemes under their rules.

After payment, AmeriaBank returns you to our site with transaction identifiers. We then confirm the result with AmeriaBank (for example GetPaymentDetails / ConfirmPayment where applicable) and, if successful, credit the purchased SC to the relevant workspace wallet. Until settlement is confirmed, access to paid SC may be delayed. Failed, cancelled, or abandoned checkouts do not create an SC credit.

5. Refunds, cancellations, and chargebacks

Refunds or cancellations of card payments follow AmeriaBank’s and applicable card-scheme procedures and any time limits (for example cancellation windows after initiation). If a payment is cancelled or refunded after SC were credited, we may debit (claw back) the corresponding SC from the wallet, including proportionally for partial refunds. If the wallet balance is insufficient, we may suspend paid features or pursue recovery of the shortfall. Chargebacks or disputes must be raised with your card issuer; we will cooperate with AmeriaBank’s investigation using our payment records.

6. Acceptable use

You must not misuse the site or studio (including attempts to break security, abuse APIs, generate unlawful or infringing content, or resell SC outside our products). We may suspend or terminate accounts that violate these Terms.

7. Intellectual property

Site content, trademarks, and software remain owned by Scorpion or its licensors. Subject to these Terms and your payment of applicable fees, you may use materials you generate for your own marketing. You grant us a limited license to process brand assets and prompts you upload solely to provide the service.

8. Disclaimer and liability

Services are provided “as is” to the extent permitted by law. We are not liable for indirect or consequential losses, including lost profits or content decisions based on AI output. Our aggregate liability relating to card payments is limited to the amount of the specific disputed paid order where the law allows such limitation.

9. Changes

We may update these Terms by publishing a revised version on this page. Continued use after the effective date constitutes acceptance of the updated Terms.
